Viettel buys 700b dong of Vinaconex shares

Viettel has spent 700 billion dong acquiring 35 million shares of Vinaconex at 20,000 dong a share, nearly doubling Vinaconex''s share price in Hanoi Securities Trading Centre (HaSTC) at that time. It is estimated that the telecoms giant lost nearly 300 billion dong in this deal.

"Although the volume of Vinaconex shares (VCG) registered at HaSTC is nearly 150 million shares, it takes much time and efforts to gather up to 35 million VCG shares at around 10,000 dong a share. The market is very sensitive, the huge demand will push the VCG share price and investors holding VCG shares will continuously increase the price. Thus, spending 20,000 dong a share to acquire 35 million VCG shares in short time is reasonable," said a financial analyst.

However, the question is why the telecoms giant Viettel is interested in the civil construction sector and real estate investment while both the stock market and the real estate market are quiet.

With the profit of nearly nine trillion dong in 2008, Viettel has high capital surplus and is ready to expand operations. That Viettel established Viettel Real Estate Investment Joint Stock Co in August 2008 and joined into setting up Viettel-Vinaconex Finance Co in November 2008 [the both companies have capital of one trillion dong each] demonstrates two important investment directions, finance and real estate. The two sectors strongly support for Viettel''s developing domestic and overseas telecoms, the main business segment of Viettel, amidst the tough competition context.

Vinaconex''s legal capital of 1.5 trillion dong in 2008 is considered modest compared to projects that Vinaconex is managing. It is estimated that Vinaconex is the investor of nearly 50 projects with total investment worth billions of US dollars. Additionally, 84 affiliates that Vinaconex is holding the majority shares are huge assets. Naturally, Vinaconex''s big projects are in need of capital.

While both the stock market and the real estate market are quiet, the decision on raising chartered capital from 1.5 trillion dong to 1.85 trillion dong is a big challenge for different reasons. Namely, it is required to negotiate to have good prices while prices of listed shares are sharply reducing. Additionally, the large scale of share issuance may be unsuccessful because seeking a partner having strong financial capacity is uneasy.

However, as for Viettel, this is a good opportunity because the giant has large capital surplus. Acquiring 35 million VCG shares or 18% of Vinaconex stake helps Viettel becomes the second largest shareholder of Vinaconex and Viettel is allowed to join in Vinaconex''s managing board.

In return, Vinaconex has more capital to develop its projects. Furthermore, Viettel''s brand name, telecoms, mobile phone infrastructures in Vietnam, Laos, Cambodia will help add value to projects that Vinaconex is investing.

The cooperation between two large companies of Vietnam shows a big opportunity in the crisis period. This case has demonstrated internal strengths of Vietnamese businesses when cooperating together without needing foreign investors.
